Terms of Use

These Terms of Use (“Terms”) govern your access to and use of www.iforher.com and related sub-domains, mobile sites and applications (collectively, the “Platform”), operated by IForHer Digital Pvt. Ltd. (“IForHer”, “we”, “us”, or “our”).

By accessing, using, registering with, or purchasing any product or service from the Platform, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, please do not use the Platform.

1. Definitions

“User,” “you,” “your” means any person who accesses, visits, registers or uses the Platform.

“Content” means any text, data, comments, posts, images, audio, video, software, code or other material.

“User Content” means Content submitted, uploaded or posted by a User.

“Services” means any services made available on or through the Platform, including community features, content sharing, job listings, helpline services, programs, subscriptions or promotions.

“Platform” means www.iforher.com and related sub-domains, mobile sites and applications operated by IForHer Digital Pvt. Ltd.

2. Eligibility & Acceptance

You must be at least 18 years old to create an account or use interactive features of the Platform.

By using the Platform, you confirm that:

  • you are legally competent to enter into a binding contract; and
  • you will comply with applicable Indian law including the Information Technology Act, 2000 and rules made thereunder.

By accessing, using, registering with, or purchasing any product or service from the Platform, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, please do not use the Platform.

3. Role as Intermediary

IForHer Digital Pvt. Ltd. operates the Platform as an online platform and intermediary hosting third-party and user-generated content. We do not control, endorse, verify or guarantee the accuracy of User Content, job listings or third-party services.

We will act upon valid complaints or takedown requests in accordance with applicable law and our policies, including the Information Technology Act, 2000 and applicable intermediary guidelines.

4. Accounts & Security

You may need to create an account to access certain Services. You agree to:

  • provide accurate, current and complete information;
  • maintain the confidentiality of your login credentials;
  • be responsible for all activity carried out under your account; and
  • notify us immediately of any unauthorized use of your account or any other breach of security.

We may suspend, disable or terminate your account at our discretion if we believe you have violated these Terms or applicable law.

5. Your Responsibilities & Acceptable Use

You agree that you will use the Platform only for lawful purposes and in accordance with these Terms.

You agree NOT to:

  • upload, post, share or otherwise make available any content that is unlawful, harmful, defamatory, obscene, pornographic, hateful, abusive, harassing, invasive of privacy, misleading, fraudulent, discriminatory or otherwise objectionable;
  • infringe any intellectual property, privacy, publicity or other proprietary rights of any person;
  • impersonate any person or entity, or misrepresent your affiliation with a person or entity;
  • post spam, advertisements, chain messages or solicitations without consent;
  • upload or transmit viruses, malware, harmful code or any other technologies that may harm the Platform or other users;
  • interfere with or disrupt the Platform, servers or networks connected to the Platform, or disobey any requirements, procedures, policies or regulations of networks connected to the Platform;
  • attempt unauthorized access to any portion or feature of the Platform, or any other systems or networks connected to the Platform;
  • create multiple fake or fraudulent accounts;
  • engage in any activity that is illegal, including but not limited to money laundering, gambling, or activities prohibited by law; or
  • violate any applicable local, state, national or international law.

We reserve the right to remove content, restrict access or take any other action we deem appropriate for violations of these Terms or applicable law.

6. User Content & License

You retain ownership of your User Content.

However, by submitting, uploading or posting User Content on or through the Platform, you grant IForHer a worldwide, non-exclusive, royalty-free, transferable and sublicensable license to host, store, reproduce, publish, display, adapt, modify, distribute and otherwise use such User Content for the purpose of operating, promoting and improving the Platform and our Services, including creating derivative works.

You represent and warrant that:

  • you own or have the necessary rights, licenses, consents and permissions to grant the above license; and
  • your User Content and its use on the Platform does not violate any law or infringe any third-party rights.

We may remove, modify or decline to publish any User Content at our discretion.

7. Intellectual Property

All intellectual property rights in and to the Platform, including without limitation trademarks, logos, service marks, content, software, design, layout, look-and-feel and other materials, are owned by or licensed to IForHer Digital Pvt. Ltd.

You may use the Platform and its content only for your personal, non-commercial use, subject to these Terms. You may not copy, modify, distribute, frame, scrape, reverse engineer, decompile, disassemble or otherwise exploit the Platform or its content for any commercial purpose without our prior written consent.

8. Communications Consent

By providing your phone number, email address or other contact details to us, you consent to receiving communications from us (including calls, SMS, WhatsApp messages, push notifications and emails) regarding our Services, third-party products and services, offers, campaigns and updates, even if your number is registered on the DND/NCPR list, unless you explicitly opt out.

You can opt out of certain communications by following the unsubscribe instructions provided in the communication or by contacting us.

9. Privacy

Your use of the Platform is subject to our Privacy Policy, which describes how we collect, use, store and disclose your personal information.

By using the Platform, you consent to the collection and use of your information in accordance with our Privacy Policy. We recommend that you review our Privacy Policy carefully.

10. Job Listings & Employer/Organisation Accounts

Employers and organisations (“Employers”) may create accounts, maintain organisation pages and submit job or other opportunity listings on the Platform.

By creating an Employer account or submitting a listing, you represent and warrant that:

  • you are authorised to act on behalf of the organisation;
  • the information and listings you provide are accurate, current and not misleading;
  • your activities comply with applicable labour, recruitment and employment laws; and
  • you will act professionally, respectfully and in good faith towards users and candidates.

IForHer does not:

  • guarantee the accuracy or completeness of any listing;
  • screen or verify candidates or employers;
  • participate in hiring decisions; or
  • become a party to any employment or contractual arrangement between Employer and candidate.

Any listing fees or commissions (if applicable) will be communicated in writing and are generally non-refundable unless otherwise agreed in writing.

11. Third-Party Services & Links

The Platform may display or link to third-party websites, services, content, products or resources (“Third-Party Services”). These are provided for your convenience only.

We do not control, endorse or assume responsibility for any Third-Party Services, their content, accuracy, privacy practices, policies, products or services. Your use of Third-Party Services is subject to their terms and conditions and at your own risk.

Any dealings between you and third parties are solely between you and the third party, and IForHer will not be responsible or liable for any loss or damage arising from such dealings.

12. Helpline Services Disclaimer

IForHer may provide certain helpline or counselling support services (“Helpline Services”) for informational and supportive purposes only.

Helpline Services:

  • do not constitute medical, psychiatric, psychological or other professional advice, diagnosis or treatment;
  • do not create a doctor-patient, therapist-patient or counsellor-client relationship between you and IForHer or any counsellor; and
  • are not a substitute for professional, in-person or emergency services.

If you are in crisis, at risk of harm, considering self-harm or harming others, or in need of urgent medical assistance, you should immediately contact local emergency services or a qualified professional. The Platform and Helpline Services are not intended for emergency use.

While our counsellors may be qualified professionals, IForHer and such counsellors disclaim any and all liability arising from or related to the Helpline Services or your reliance on them. You are solely responsible for your decisions and actions.

13. Payments, Fees & Refunds

Where the Platform or certain Services require payment of fees, pricing and applicable taxes will be disclosed to you prior to purchase.

Unless otherwise required by law or expressly stated in writing by IForHer:

  • all fees are non-refundable; and
  • partial use or non-use of a paid Service does not entitle you to any refund.

Any refunds, where applicable, will be processed in accordance with our then-current refund policy or specific written terms.

14. Copyright Complaints

IForHer respects intellectual property rights. If you believe that any content on the Platform infringes your copyright, you may contact us at hello@iforher.com with the following information:

  • a description of the copyrighted work you claim has been infringed;
  • a description of the content on the Platform that you claim is infringing, including its URL or other location details;
  • proof that you are the copyright owner or authorised to act on the copyright owner’s behalf;
  • your contact information (name, address, phone number, email); and
  • a statement that the information in your notice is accurate and that you are the copyright owner or authorised agent.

We may remove or disable access to the allegedly infringing content and may notify the user who posted the content. If you knowingly misrepresent that any content is infringing, you may be liable for damages.

15. Platform Availability

We work to keep the Platform up and running but do not guarantee that the Platform or any Service will be available at all times, uninterrupted or error-free.

We may modify, suspend, limit or discontinue the Platform or any part of it at any time, with or without notice, including for maintenance, upgrades, security or business reasons. We will not be liable for any such modification, suspension or discontinuation.

16. Limitation of Liability

To the maximum extent permitted by law:

  • the Platform and all Services are provided on an “as is” and “as available” basis; and
  • IForHer disclaims all warranties of any kind, whether express, implied or statutory, including but not limited to warranties of merchantability, fitness for a particular purpose, non-infringement, accuracy or reliability.

IForHer will not be liable for any indirect, incidental, consequential, special, punitive or exemplary damages of any kind, including without limitation loss of profits, loss of data, business interruption, or reputational harm, arising out of or in connection with your use of or inability to use the Platform or Services, even if we have been advised of the possibility of such damages.

If any liability is established against IForHer, our total aggregate liability, regardless of the form of action (whether in contract, tort or otherwise), shall not exceed the greater of:

  • INR 1,000 (Indian Rupees One Thousand only); or
  • the amount you actually paid to us for the specific Service giving rise to the claim.

Some jurisdictions do not allow the exclusion or limitation of certain damages; in such cases, our liability shall be limited to the minimum extent permitted by applicable law.

17. Indemnity

You agree to indemnify, defend and hold harmless IForHer Digital Pvt. Ltd., its directors, officers, employees, agents and affiliates from and against any and all claims, demands, actions, liabilities, losses, damages, costs and expenses (including reasonable attorneys’ fees) arising out of or related to:

  • your use of or access to the Platform or Services;
  • your violation of these Terms or any applicable law;
  • your violation of any rights of any third party, including intellectual property, privacy or other rights; or
  • any User Content you submit, upload, post or share on or through the Platform.

18. Termination

We may, in our sole discretion and without liability, suspend, restrict or terminate your access to the Platform or any Service, or deactivate or delete your account, at any time and for any reason, including if we believe you have violated these Terms or applicable law.

You may close your account and stop using the Platform at any time.

Upon termination, your right to access or use the Platform or Services will immediately cease. Certain provisions of these Terms, including but not limited to those relating to intellectual property, limitation of liability, indemnity and dispute resolution, will survive termination.

19. Governing Law & Jurisdiction

These Terms are governed by and shall be construed in accordance with the laws of India, without regard to its conflict of law principles.

Subject to the arbitration clause below, the courts at New Delhi, India shall have exclusive jurisdiction over all disputes arising from or relating to these Terms or your use of the Platform.

20. Dispute Resolution & Arbitration

In the event of any dispute, claim or controversy arising out of or relating to these Terms or the use of the Platform (“Dispute”), the parties shall first attempt to resolve the Dispute amicably through good-faith negotiations within thirty (30) days of written notice of the Dispute.

If the Dispute is not resolved within this period, it shall be referred to and finally resolved by arbitration in accordance with the Arbitration and Conciliation Act, 1996, as amended from time to time. The arbitration shall be conducted by a sole arbitrator appointed by mutual agreement of the parties, failing which the arbitrator shall be appointed in accordance with the said Act.

The seat and venue of arbitration shall be New Delhi, India, and the language of the arbitration shall be English. The arbitral award shall be final and binding on the parties.

21. Force Majeure

IForHer shall not be liable for any failure to perform or delay in performance of any of its obligations under these Terms if such failure or delay is caused by events beyond its reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, riots, civil commotion, strikes, lockouts, epidemics, pandemics, governmental regulations or restrictions, power failures, internet or telecommunications failures, or any other similar events (“Force Majeure Events”).

Performance of the affected obligation shall be deemed suspended for the duration of the Force Majeure Event. If a Force Majeure Event continues for more than ninety (90) consecutive days, either party may terminate the affected Services upon written notice.

22. Changes to These Terms

We may update or modify these Terms from time to time. The updated Terms will be posted on the Platform with a revised “Last Updated” date.

Your continued use of the Platform after any such changes constitutes your acceptance of the updated Terms. If you do not agree to the updated Terms, you should stop using the Platform.

If required under applicable law, we will designate a Grievance Officer whose details will be provided in the Privacy Policy or on the Platform.

24. Entire Agreement

These Terms, together with our Privacy Policy and any additional terms that may apply to specific Services, constitute the entire agreement between you and IForHer regarding your use of the Platform and Services, and supersede all prior or contemporaneous communications and proposals, whether electronic, oral or written, between you and IForHer with respect to the Platform.

If any provision of these Terms is held to be invalid or unenforceable, the remaining provisions will remain in full force and effect. Our failure to enforce any right or provision of these Terms will not be considered a waiver of such right or provision.

You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may freely assign or transfer our rights and obligations under these Terms without restriction.
